Scope and fees

New bilingual drafting from US$3,250. Existing agreement review from US$950. Substantive redline and negotiation are separately scoped. The stated standard drafting scope covers one set of parties, one development project, one bilingual agreement and one consolidated client revision round. Narrower or materially different matters may be quoted separately; exact scope and fee are confirmed before paid work begins. Typical drafting turnaround is 5–7 business days once the agreed inputs and engagement conditions are complete.

What exists before the project

Identify the designs, know-how, software and other material contributed by each party. Separate those inputs from the work the developer is being asked to produce.

What each milestone delivers

Describe samples, drawings, technical files and other outputs. Link the approval process, payment stage and record of acceptance to the agreed deliverables.

What may change

Address modifications, additional costs, delayed decisions, failed samples and the approval needed before a change is made. The contract needs to reflect how the teams actually work.

What happens at handover

Identify the agreed materials, use rights, ownership arrangements and unfinished work. Consider the end of development separately from the start of volume production.

What you receive

Within the agreed drafting scope: a bilingual development agreement, a milestone and deliverables schedule framework, an explanation of key terms and one consolidated client revision round. The framework identifies the technical and commercial decisions still needed; it does not supply a technical design or validate a product.

How the documents fit together

An NNN agreement can address information shared before the development terms are complete. A manufacturing agreement addresses production obligations, acceptance, payment and delivery. A combined document may be appropriate, but it is not assumed that one fee covers all stages, recipients and contracts.

Questions from overseas buyers

What if the milestones are not final?

We can organise the proposed stages and identify the open decisions. You and your technical advisers still need to confirm the measurable outputs, tests and acceptance criteria.

Can the agreement address tooling and new IP?

Yes, the agreed ownership and use arrangements can be addressed in the drafting. Identify what each party contributes, what will be created and who pays. Patent searches, filings and recovery of property already withheld are separate work.

What if the developer has already stopped work?

Start with the existing agreement, payment and delivery record. Assessing an existing breach or negotiating an exit is distinct from drafting future terms.

Does this include every discussion with the developer?

No. The proposal states the included meetings and revisions. Continuing negotiation or a substantial change to the project needs an agreed additional scope.
